TERMS AND CONDITIONS

1. INTRODUCTION
These Terms and Conditions (the “Terms”) govern the relationship between BRAVA COMMINC LTD (the “Company”, “we”, “us”, or “our”) and any individual or legal entity (the “Client”, “you”, or “your”) who makes an enquiry, places an order, uses our website, or otherwise engages with our services.
BRAVA COMMINC LTD operates in the production and sale of furniture and interior products, including both bespoke (made-to-order) items and ready-made products available in stock.
By using our website, submitting an enquiry, or placing an order, you confirm that you:
have read these Terms;
understand their content; and
agree to be bound by them in full.
2. NATURE OF PRODUCTS AND SERVICES
2.1
The Company manufactures furniture on a bespoke (made-to-order) basis and also sells ready-made products available in stock.
2.2
All products may feature natural variations due to the use of materials such as wood, stone, resin, and natural fibres.
2.3
Variations in appearance, texture, colour, grain, or structure compared to samples, visualisations, or photographs are inherent characteristics of natural materials and shall not be considered defects.
3. ORDER PROCESS
3.1
An order shall be deemed confirmed only upon:
agreement of the design or specification (where applicable);
approval of product characteristics;
confirmation of the price; and
receipt of full payment.
3.2
Any changes requested after approval may:
affect the price;
affect the timeline; and
require additional confirmation.
3.3
The Company reserves the right to decline any order prior to its confirmation.
4. PRICING AND PAYMENT
4.1
Pricing depends on the type of product.
For bespoke (made-to-order) items, pricing is determined individually based on the design, materials, and complexity of production.
For items in stock, prices are fixed and stated accordingly.
4.2
Following agreement, an invoice will be issued specifying:
product description;
total price;
currency (EUR or GBP);
payment instructions.
4.3
Payment shall be made by bank transfer.
4.4
Payment may be completed via:
online banking;
banking application;
bank transfer.
4.5
All orders require 100% payment prior to production or dispatch.
4.6
Payment is deemed received once funds have cleared into the Company’s account.
4.7
The Company shall not commence production or delivery until full payment has been received.
VAT AND TAXES
4.8
All applicable taxes will be specified in the invoice.
4.9
For deliveries within the United Kingdom, VAT may apply at the standard rate.
4.10
For deliveries within the European Union, applicable VAT rates will apply depending on the destination country.
4.11
International deliveries may be subject to customs duties and import taxes.
4.12
All such additional charges shall be borne by the Client.
5. PRODUCTION TIMEFRAMES
5.1
All production timelines are indicative.
5.2
Timeframes depend on project complexity, materials, and external factors.
6. DELIVERY
6.1
Delivery is carried out either by the Company or by third-party carriers.
6.2
Delivery terms are agreed on an individual basis.
6.3
Delivery timeframes depend on the type of product.
For items available in stock, delivery may take up to 30 days from the date of payment.
For bespoke (made-to-order) items, delivery timelines are determined individually and include production time.
6.4
Risk of loss or damage transfers to the Client upon handover of the goods to the carrier.
6.5
The Client is responsible for ensuring appropriate conditions for delivery and acceptance.
6.6
The Company shall not be liable for the actions or omissions of third-party carriers.
6.7
Delivery timelines may vary between bespoke items and items in stock.
7. RETURNS AND CANCELLATION
7.1
Bespoke (made-to-order) items are non-returnable and non-refundable.
7.2
For items in stock, returns or exchanges may be permitted in accordance with applicable law.
7.3
Returns are only accepted provided the item has not been used and is returned in its original condition.
7.4
Cancellation of bespoke orders is not permitted once production has commenced.
8. LIABILITY
8.1
The Company warrants that the product will conform to the agreed specifications.
8.2
The warranty does not cover:
normal wear and tear;
improper use;
unauthorised modifications;
natural changes in materials.
8.3
The Company shall not be liable for any damage arising from misuse or actions of third parties.
8.4
The Company’s total liability shall in all cases be limited to the value of the product.
9. INTELLECTUAL PROPERTY
9.1
All designs, drawings, and materials remain the intellectual property of the Company.
10. CONFIDENTIALITY
10.1
Personal data shall be processed in accordance with the Company’s Privacy Policy.
11. FORCE MAJEURE
The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
12. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
13. AMENDMENTS
The Company reserves the right to amend these Terms at any time.
